Pisteo Service Terms

These terms govern your use of the Pisteo platform. By signing up or signing the order form, you agree to them on behalf of your business.

1. Parties and definitions

  • Pisteo, we, us: Pisteo, an aputoiminimi of Easy Host Oy (Y-tunnus 3288005-7), registered office Helsinki, Finland.
  • Restaurant, you: the business named in the order form.
  • Service: the Pisteo software platform, including the diner-facing ordering app, the restaurant dashboard, kitchen printer integration, and Stripe Connect onboarding flow.
  • Diner: an end user placing an order through Pisteo at your venue.

2. The Service

Pisteo lets your guests order and pay from their phones. We provide the software, dashboards, menu management, kitchen ticketing, payment routing via Stripe Connect, and reporting. You remain the merchant of record for sales to diners. Funds settle directly to your IBAN via your Stripe Connect Express account.

3. Subscription, fees, and billing

  • Subscription: the plan and monthly fee are stated in the order form. The subscription renews monthly until terminated.
  • Billing: monthly in advance, by card or SEPA, invoiced on the first business day of each month. Payment terms 14 days net.
  • Transaction fee (application fee): in addition to subscription, Pisteo charges a per-transaction fee, stated in the order form, deducted from each diner payment via Stripe Connect's application_fee mechanism before settlement to your IBAN.
  • Stripe fees: Stripe charges its own fees directly, which are separate from Pisteo's fees and not collected by Pisteo. Stripe's current pricing is at stripe.com/fi.
  • VAT/ALV: all Pisteo fees are exclusive of VAT, which is added where applicable.
  • Price changes: we may change subscription pricing on 60 days' written notice. Transaction fees can be changed on 30 days' notice. If you do not accept a price change, you may terminate before it takes effect.

4. Hardware

If you order hardware from Pisteo (table tents, NFC tags, printers), the order form will specify whether it is a purchase or a monthly lease.

  • Purchase: title passes to you on full payment. Warranty: 12 months from delivery, manufacturer warranty applies, no extended warranty.
  • Lease: title remains with Pisteo. You return the hardware within 14 days of termination in working condition, normal wear excepted. Damage beyond normal wear is invoiced at replacement cost.

5. Uptime and support

We aim for high availability but do not commit to a formal Service Level Agreement in this version of the Terms.

  • We publish a monthly availability report on the dashboard.
  • Target: 99.5% monthly availability, excluding scheduled maintenance.
  • Scheduled maintenance is announced at least 48 hours in advance and performed outside Finnish dinner service hours where reasonably possible.
  • Support: email [email protected], response within one business day during 09:00 to 18:00 Helsinki time, Mon to Fri.
  • Critical outages (full payment or ordering failure) are responded to as fast as reasonably possible regardless of hour.

6. Your data and your menu

  • You own your data. Your menu, item photos, opening hours, staff list, transaction records, diner email marketing list, and reporting data are yours.
  • Export: you can export your data at any time via the dashboard in CSV and JSON formats, including: menu, transactions, diner email list (where consent has been given), and reporting.
  • License to us: you grant Pisteo a non-exclusive, royalty-free, worldwide license to host, process, display, and transmit your data solely as needed to provide the Service to you and your diners.
  • No resale of your data: we do not sell or rent your data, your menu, or your diner list.

7. Pisteo's intellectual property

We own the Pisteo software, brand, logos, dashboards, and all derivative work. You receive a non-exclusive, non-transferable right to use the Service during the subscription. You may not copy, reverse-engineer, or resell the Service.

8. Diner relationship and merchant of record

You are the merchant of record for every diner transaction. You are responsible for:

  • Accuracy of your menu, prices, allergen information, and tax rates.
  • Fulfilling orders to diners.
  • Handling diner complaints, refunds, and any disputes about the food and service.
  • Compliance with food safety and licensing law (Elintarvikelaki, alcohol service rules where applicable).

Pisteo is not a party to the diner's purchase. We provide the technology and the payment flow.

9. Data protection

The parties enter into the Data Processing Agreement, which forms part of these Terms. Where there is a conflict, the DPA prevails on data protection matters. For details of what we collect and why, see our Privacy Policy.

10. Confidentiality

Each party will keep the other's non-public business information confidential and use it only to perform under these terms. Confidentiality survives termination by three years.

11. Term and termination

  • Term: monthly, auto-renewing.
  • Termination for convenience: either party may terminate on 30 days' written notice, effective at the end of the next full billing month.
  • Termination for cause: either party may terminate immediately on material breach not cured within 14 days of written notice, or on insolvency of the other party.
  • Effect of termination: access ends on the termination date. Your data remains available for export for 60 days after termination. After 60 days, Pisteo deletes it from production systems within a further 30 days, except records we are legally required to retain (accounting, tax).
  • Outstanding fees: fees accrued up to the termination date are payable. Pre-paid months for terminations by you for convenience are not refunded. Pre-paid months for terminations by you for Pisteo's material breach are refunded pro-rata.

12. Warranties and disclaimers

We provide the Service "as is" with reasonable skill and care. We do not warrant uninterrupted operation or fitness for a particular purpose beyond what is described in these Terms. Statutory non-excludable rights remain.

13. Liability

To the maximum extent permitted by Finnish law:

  • Neither party is liable for indirect or consequential losses, including loss of profit, loss of goodwill, loss of data beyond restoration from the latest available backup, or business interruption.
  • Each party's total aggregate liability under these Terms is capped at the total fees paid by the Restaurant to Pisteo in the 12 months immediately before the event giving rise to the claim.
  • The liability cap does not apply to: breach of confidentiality, breach of data protection obligations, willful misconduct, gross negligence, infringement of the other party's IP, or amounts due as fees.

14. Force majeure

Neither party is liable for failure caused by events beyond reasonable control, including general internet outages, third-party service failures (Stripe, Cloudflare, Railway), strikes, pandemics, war, government action. The affected party must notify the other and use reasonable efforts to mitigate.

15. Governing law and dispute resolution

These Terms are governed by Finnish law, excluding its conflict-of-laws rules. Disputes are resolved in the Helsinki District Court (Helsingin käräjäoikeus) as the court of first instance.

16. Changes to these Terms

We may update these Terms by giving 30 days' written notice. If you do not accept the change, you may terminate before it takes effect. Continued use after the effective date constitutes acceptance.

17. General

  • Notices: by email to the address in the order form.
  • Assignment: you may not assign without our consent. We may assign on a corporate reorganization.
  • Entire agreement: order form, these Terms, and the DPA are the entire agreement.
  • Severability: if a clause is unenforceable, the rest stays in force.
